Terms of Service

1.1 "AI Twin" means the AI-driven digital persona modeled after a creator, accessible to end users through the Platform.

1.2 "Content" means any text, images, audio, video, or other materials (including user-generated text conversations, uploaded images or videos, or feedback) you, other users, or creators provide to or through the Platform.

1.3 "Emergency" means any situation in which a user or any other individual is in crisis, faces imminent harm, or needs urgent medical or mental health assistance.

1.4 "Self-Care Modules" means the 153 self-care exercises, tools, or activities available on the Platform, bucketed into 32 types, of which the top 5 may appear on your personalized homepage.

1.5 "Daily Routine Features" means the functionalities on the Platform that provide suggestions for meditation, sleep, and mindfulness.

1.6 "Services" means all features of the Platform, including AI Twin interactions, Self-Care Modules, Daily Routine Features, and any other products or services provided by MetaTwin.

2.1 Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to access or use the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement. If you are accessing or using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement, and all references to "you" or "your" include your organization as well.

2.2 Modifications

We reserve the right to update or modify this Agreement at any time. We will notify you of material changes by posting the revised Agreement and updating the "Last Revised On" date at the top. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes.

3.1 AI Twin Interactions

MetaTwin enables creators to build AI Twins that can interact with their audience by providing responses through text, voice, video chat, voice call, or video call functionalities. While these AI Twins may provide mental health support or guidance, they are not substitutes for licensed therapy or professional medical advice.

3.2 Self-Care Modules

We offer a library of 153 self-care modules, categorized into 32 types. Each user's homepage will highlight the top 5 modules recommended based on preferences or usage patterns. These modules are intended for general well-being and educational purposes and do not constitute professional medical advice.

3.3 Daily Routine Features

You may also access daily routine suggestions for meditation, sleep, and mindfulness. These suggestions are automated and are not personalized medical or mental health advice.

3.4 Mental Health and Support Focus

The content provided on or through the Platform, including any AI outputs, is offered to support mental wellness. However, MetaTwin does not practice psychiatry, psychology, or any other licensed mental health profession. We do not diagnose conditions, offer medical or psychological treatment, or prescribe medications.

3.5 U.S.-Based Services

MetaTwin's Platform and Services are intended primarily for U.S. creators and U.S. audiences. We do not guarantee compliance with foreign laws outside of the United States.

4.1 Not a Substitute for Professional Advice

No Medical or Mental Health Advice. Any content or suggestions provided by the Platform or AI Twins do not constitute medical advice, diagnosis, or treatment.

AI Hallucinations. The AI Twins use large language models, which may sometimes generate inaccurate, incomplete, or "hallucinated" responses.

Consult a Professional. Always seek the advice of a qualified mental health professional or physician regarding any mental health concerns or before making any significant lifestyle changes.

Emergency Situations. In the event of an Emergency (e.g., risk of harm to self or others), contact appropriate emergency services. In the U.S., call 911 for immediate help or dial the Suicide & Crisis Lifeline at 988.

4.2 User Responsibility

You agree that you are solely responsible for your use of the Platform. MetaTwin is not liable for any decisions or actions you take or fail to take based on the AI outputs or any information you obtain from the Platform.

4.3 Third-Party Links

The Platform may contain links to third-party websites or resources. We are not responsible for the content, products, or services provided by such third parties, nor do we endorse or guarantee their accuracy.

5.1 Account Creation

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information about yourself during the registration process. You are responsible for maintaining the confidentiality of your account credentials and are responsible for all activities that occur under your account.

5.2 Account Usage

Security. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

No False Information. You may not create an account using a false identity or information on behalf of anyone other than yourself (or your organization if you are authorized).

5.3 Account Suspension or Termination

We may suspend or terminate your account if we reasonably believe you are violating any part of this Agreement or for any other lawful reason, with or without notice.

6.1 Ownership and License

Any Content you submit, post, or otherwise make available through the Platform remains yours. However, by providing Content, you grant MetaTwin a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, display, and distribute your Content solely for the purpose of operating and improving the Platform.

6.2 Prohibited Content

You agree not to submit or share any Content that:

• Infringes upon the rights of any third party, including intellectual property rights or privacy/publicity rights.
• Is unlawful, defamatory, obscene, or hateful.
• Contains viruses, malware, or harmful code.

We reserve the right to remove any Content that violates this Agreement or is otherwise objectionable in our sole discretion.

6.3 User Representations and Warranties

You represent and warrant that:

• You own or have the necessary licenses, rights, consents, or permissions to submit any Content.
• Your Content does not violate any law, infringe on any third-party's rights, or breach this Agreement.

7.1 MetaTwin's Intellectual Property

The Platform (including all underlying software, technology, and related materials) is owned or licensed by MetaTwin and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform solely in accordance with this Agreement.

7.2 Trademarks

All trademarks, service marks, logos, trade names, and any other proprietary designations of MetaTwin used herein are trademarks or registered trademarks of MetaTwin. Any other product, company, or service names mentioned on the Platform are used for identification purposes only and may be trademarks of their respective owners.

8.1 Subscription and Fees

Certain features of the Platform may require payment of fees or a subscription. Any applicable fees will be disclosed before you subscribe or make a purchase. You agree to pay all fees or charges in accordance with the payment terms presented to you.

8.2 Payment Processing

We may use third-party payment processors to bill you for fees related to the Platform. Your payments are subject to the relevant processor's terms of service and privacy policy.

8.3 Changes to Fees

We reserve the right to change our fees at any time. If we do, we will provide notice of the change on the Platform or via email. Your continued use of the Platform after such a fee change constitutes acceptance of the updated fees.

9.1 Confidential Information

Any non-public information that a party designates as confidential or that, under the circumstances surrounding disclosure, should be treated as confidential, will be deemed "Confidential Information." MetaTwin's Confidential Information includes the internal workings of our AI technology.

9.2 Non-Disclosure and Protection

You will not disclose MetaTwin's Confidential Information to any third party or use it for any purpose other than to carry out your obligations under this Agreement. You will use at least the same degree of care to protect such Confidential Information as you use to protect your own confidential and proprietary information, but no less than a reasonable standard of care.

10.1 "As Is" and "As Available"

Except as expressly set forth herein, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis. MetaTwin disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy.

10.2 No Guarantee of Error-Free Operation

We do not warrant that access to or use of the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

10.3 Mental Health Disclaimers

MetaTwin's AI Twins and any associated content may not be suitable for individuals experiencing severe mental health conditions.

Self-Care Modules and Daily Routine Features are informational only. They do not replace professional mental health treatment, diagnosis, or therapy.

If you experience worsening mental health symptoms, suicidal thoughts, or behavior that concerns you, please discontinue use of the Platform and seek immediate professional help.

11.1 Exclusion of Damages

To the fullest extent permitted by applicable law, MetaTwin, its affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for lost profits, loss of data, business interruption, or any other commercial damages or losses) arising out of or relating to your use of or inability to use the Platform, however caused, regardless of the theory of liability, and even if we have been advised of the possibility of such damages.

11.2 Limitation of Liability

To the fullest extent permitted by applicable law, MetaTwin's aggregate liability for all claims arising out of or related to this Agreement will not exceed the amounts paid by you to MetaTwin in the twelve (12) months immediately preceding the event(s) giving rise to liability.

11.3 Essential Purpose

The limitations and disclaimers in this Agreement form an essential basis of the bargain between you and MetaTwin, and without these limitations, we would not provide the Platform to you.

You agree to defend, indemnify, and hold harmless MetaTwin and its officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising out of (i) your use of and access to the Platform; (ii) your Content; (iii) your breach of this Agreement; or (iv) your violation of any third party right, including without limitation any intellectual property, confidentiality, or privacy right.

13.1 Term

This Agreement remains in effect as long as you continue to access or use the Platform or until terminated by you or by us.

13.2 Termination by MetaTwin

We may, at our sole discretion, terminate or suspend your access to the Platform at any time, for any reason, including your violation of this Agreement.

13.3 Effect of Termination

Upon termination of your access to the Platform or this Agreement for any reason, you will immediately cease all use of the Platform. Any rights or licenses granted to you under this Agreement shall terminate upon such termination. Provisions of this Agreement which by their nature should survive termination will survive.

This Agreement and any action related thereto will be governed and interpreted by and under the laws of the State of California, without giving effect to any conflict-of-law principles. All claims arising out of or relating to this Agreement shall be litigated exclusively in the federal or state courts located in Santa Clara County, California, and you consent to personal jurisdiction and exclusive venue in such courts.

15.1 Force Majeure

MetaTwin shall not be liable for delays or failures in performance resulting from events or circumstances beyond our reasonable control.

15.2 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may freely assign, transfer, or delegate this Agreement or any rights or obligations hereunder.

15.5 Entire Agreement

This Agreement, including any policies referenced herein, constitutes the entire agreement between you and MetaTwin regarding the subject matter hereof and supersedes all prior or contemporaneous understandings or agreements.
